Terms of Service
Please read these terms carefully before using Cosner. Have counsel review before relying on them for regulatory or contractual purposes.
1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of the Cosner website, applications, APIs, and related services (collectively, the "Service") provided by Cosner Pte. Ltd. ("Cosner," "we," "us," or "our").
By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
If you do not agree, do not use the Service.
2. The service
Cosner helps teams extract structured data from documents such as invoices, technical drawings, contracts, and financial statements, with exports and source citations. Features, supported formats, and limits may change over time.
We may offer free trials, beta features, or preview functionality. Such offerings are provided as-is, may be modified or discontinued without notice, and may have additional usage limits.
3. Accounts and security
You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account and for notifying us promptly of unauthorized use.
We may suspend or terminate accounts that violate these Terms, pose security risk, or remain inactive for extended periods, subject to applicable notice requirements.
4. Acceptable use
You agree not to misuse the Service. Prohibited conduct includes:
- Violating applicable law.
- Uploading malware or attempting to disrupt systems.
- Accessing accounts or data without authorization.
- Reverse engineering the Service except where permitted by law.
- Scraping or automated access outside documented APIs.
- Sending spam or abusive content.
- Using the Service to process documents you do not have rights to use.
You will not use the Service in regulated contexts (such as certain healthcare or financial advisory scenarios) unless you independently ensure compliance with all applicable rules.
We may investigate violations and cooperate with law enforcement where appropriate.
5. Customer content
You retain ownership of documents, data, and materials you submit to the Service ("Customer Content"). You grant Cosner a limited license to host, process, transmit, and display Customer Content solely to provide and improve the Service, prevent abuse, and comply with law.
You represent that you have all rights necessary to submit Customer Content and that its processing under these Terms does not infringe third-party rights or violate law.
You are responsible for the accuracy of extracted outputs and for reviewing results before relying on them in business, engineering, or financial decisions.
6. Intellectual property
Cosner and its licensors own the Service, software, branding, documentation, and all related intellectual property, except for Customer Content. These Terms do not grant you any rights to our trademarks except as needed to use the Service in accordance with these Terms.
If you provide feedback, you grant us a perpetual, irrevocable license to use it without restriction or compensation.
7. Fees and payment
Paid plans, if offered, are billed according to the pricing and order form presented at purchase. Fees are non-refundable except where required by law or expressly stated in writing.
You authorize us and our payment processors to charge applicable taxes and recurring subscription fees until you cancel. Failure to pay may result in suspension of access.
8. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Cosner disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy of extraction results.
Document extraction may produce errors or incomplete fields. You should verify outputs before use in production workflows, compliance filings, or contractual obligations.
9. Limitation of liability
To the maximum extent permitted by law, Cosner and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Service.
Our total liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) amounts you paid to Cosner for the Service in the twelve months before the claim or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
10. Indemnification
You will defend, indemnify, and hold harmless Cosner from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of law or third-party rights.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach, risk, non-payment, or discontinuation of the Service, with notice where practicable.
Upon termination, your right to access the Service ends. Provisions that by nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnity) will survive.
12. Governing law
These Terms are governed by the laws of the Republic of Singapore. Exclusive jurisdiction for disputes arising from these Terms or the Service lies in the courts of Singapore, and you consent to personal jurisdiction there.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
13. Changes
We may modify these Terms by posting an updated version on this page. Continued use after the effective date constitutes acceptance. If changes materially affect paid subscribers, we will provide additional notice where required.
